7. DEFINITION OF COMMERCIAL USE

- Scraping Website Content for resale;
- Creating a competing commercial directory from Texas Hayom data;

8. UNAUTHORIZED COMMERCIAL USE — MINIMUM $5,000 CONTRACTUAL FEE
IMPORTANT — CONTRACTUAL COMMERCIAL-USE FEE
Because unauthorized commercial copying, reproduction, extraction, redistribution, or exploitation of Website Content can cause harm that may be difficult to calculate precisely, you agree that engaging in Unauthorized Commercial Use constitutes a material violation of these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, A USER WHO KNOWINGLY OR INTENTIONALLY USES WEBSITE CONTENT FOR AN UNAUTHORIZED COMMERCIAL OR PROFIT-SEEKING PURPOSE AGREES TO PAY HAYOM MEDIA USA A MINIMUM CONTRACTUAL LICENSING AND/OR LIQUIDATED-DAMAGES FEE OF FIVE THOUSAND UNITED STATES DOLLARS (US $5000.00) FOR EACH DISTINCT ITEM OR MATERIAL COMMERCIAL USE, WHETHER OR NOT THE USER ACTUALLY EARNS A PROFIT.
Where Hayom Media USA’s established commercial licensing charge for the particular material or use is greater than $5000, the User agrees that Hayom Media USA or its authorized licensing agent may assess the applicable higher commercial licensing amount, provided that amount is reasonably related to the type, scope, duration, audience, quantity, or commercial value of the unauthorized use.
For purposes of this section, a separate article, photograph, video, graphic, database extraction, code component, directory compilation, contact dataset, or materially separate act of unauthorized commercial exploitation may constitute a separate use where permitted by law.
The parties acknowledge that:
- Unauthorized commercial use can impair licensing opportunities, exclusivity, advertising value, traffic, subscriptions, search visibility, reputation, database value, and other interests;
- The amount of harm caused by an unauthorized commercial use may be difficult to calculate at the time the User agrees to these Terms;
- The $500 minimum is intended as a reasonable minimum estimate and commercial licensing charge and not as a punishment or penalty; and
- This provision does not authorize any unauthorized use of Website Content.
Nothing in this section limits Hayom Media USA’s ability, where permitted by law, to seek injunctive relief or pursue actual damages, statutory damages, disgorgement, licensing fees, attorneys’ fees, costs, or other remedies provided by copyright, trademark, trade-secret, computer-access, contract, or other applicable law.
Hayom Media USA will not obtain duplicative recovery for the same injury where prohibited by law.
9. SCRAPING, DATA EXTRACTION, AND AUTOMATED ACCESS
Unless Hayom Media USA provides prior written authorization, you may not use any robot, spider, scraper, crawler, bot, automated browser, script, data-mining system, artificial-intelligence agent, automated extraction system, or similar technology to systematically access, copy, retrieve, index, download, reproduce, or compile Website Content.
You may not:
- Scrape business listings;
- Harvest contact information;
- Extract email addresses;
- Build mailing or marketing lists from the Website;
- Reproduce the Website’s directory;
- Mirror Website pages;
- Build a competing database from Website Content;

Ordinary indexing by legitimate public search engines may be permitted subject to Hayom Media USA’s technical directives, including robots.txt or similar controls.
10. WEBSITE CODE AND TECHNOLOGY
You may not copy, sell, license, distribute, transmit, transfer, trade, disclose, commercially exploit, reverse engineer, decompile, disassemble, modify, reproduce, duplicate, or create unauthorized derivative works from Website code, software, databases, APIs, scripts, systems, or proprietary technical components except to the limited extent that applicable law expressly prohibits such a restriction.

If, notwithstanding the foregoing, Hayom Media USA is determined to have monetary liability that cannot legally be excluded, Hayom Media USA’s aggregate Website-related liability shall, to the fullest extent permitted by law, not exceed the greater of:
- The amount you actually paid directly to Hayom Media USA for use of the Website during the twelve months immediately preceding the event giving rise to the claim; or
- One hundred United States dollars (US $100.00).

Failure by Hayom Media USA to immediately enforce any right does not waive that right.
28. SUSPENSION AND TERMINATION
Hayom Media USA may suspend, restrict, block, or terminate a User’s access to all or part of the Website where Hayom Media USA reasonably believes that the User:
- Violated these Terms;
- Engaged in unauthorized commercial use;
- Scraped Website Content;
- Threatened Website security;
- Engaged in fraudulent or unlawful conduct;
- Misused a Website account; or
- Otherwise created a material risk to the Website or another person.
Termination does not eliminate obligations or liabilities arising before termination.
Sections concerning intellectual property, commercial-use restrictions, payment obligations, liability, indemnification, dispute provisions, and other provisions that logically should survive termination will survive.
29. CHANGES TO THESE TERMS
Hayom Media USA may revise these Terms from time to time.
The revised Terms will ordinarily identify a new “Last Updated” date.
Changes will apply prospectively to Website use following their effective date except where applicable law permits otherwise.
If you do not agree with revised Terms, your remedy is to discontinue use of the Website.
30. GOVERNING LAW
These Terms and disputes arising out of or relating to the Website shall be governed by the laws of the State of Texas, without regard to conflict-of-law rules that would require application of another jurisdiction’s laws, except where federal law or another law that cannot validly be waived or displaced applies.
31. JURISDICTION AND VENUE

Any provision that would otherwise conflict with a mandatory, non-waivable law shall be interpreted and limited to the maximum extent necessary to comply with that law while preserving the remainder of the provision where possible.
33. SEVERABILITY
If a court of competent jurisdiction determines that any provision of these Terms is unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent legally permissible or, where necessary, severed from these Terms.
The remaining provisions shall remain in full force and effect.
Where legally permissible, a court should modify an unenforceable provision only to the minimum extent necessary to make it enforceable while preserving the parties’ original intent.
34. NO WAIVER
Failure by Hayom Media USA to exercise or enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
A waiver is effective only if made in writing by an authorized representative of Hayom Media USA.
35. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Hayom Media USA.
Hayom Media USA may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, transfer of the Website, change in ownership, or other lawful business transaction.
36. ENTIRE AGREEMENT
